Board Member Fiduciary Duties Agreement

As a member of the Board of Directors of the Val A. Henry Legacy Scholarship Fund, Inc. (“the Fund”), I acknowledge my legal and ethical responsibilities to the organization. By signing below, I agree to uphold the following fiduciary duties in service to the Fund and its mission.

1) Duty of Care

Attend board and committee meetings regularly and participate actively.
Review materials in advance and make informed, prudent decisions.
Provide oversight of programs, policies, and financial health.

2) Duty of Loyalty

Place the interests of the Fund above personal or professional interests.
Disclose and manage any real or perceived conflicts of interest.
Do not use the board position for personal gain.

3) Duty of Obedience

Ensure the Fund operates in alignment with its mission and charitable purposes.
Comply with applicable laws, bylaws, and board policies.
Safeguard the organization’s tax-exempt status and use resources solely for exempt purposes.

4) Confidentiality

Protect non-public information about the Fund, its donors, and beneficiaries.
Maintain confidentiality of board discussions and materials.

5) Commitment to Mission

Serve as an ambassador for the Fund and its programs.
Support fundraising and stewardship consistent with board expectations.
Contribute skills and time to strengthen governance and impact.
